Applied Materials Increases Stake in Besi to 20% to Scale Advanced Packaging

Applied Materials, Inc. has entered into an accelerated share purchase agreement to raise its equity investment in BE Semiconductor Industries N.V. (Besi) to approximately 20 percent of the Dutch assembly equipment maker’s outstanding shares. The transaction expands upon an initial equity stake acquired by Applied Materials in April 2025, cementing a multi-year industrial partnership focused on heterogeneous integration and advanced packaging toolsets for artificial intelligence workloads. The final transfer of shares remains subject to regulatory review and the expiration or termination of the statutory waiting period under the Hart-Scott-Rodino (HSR) Antitrust Improvements Act of 1976.

The expanded equity position reinforces an established technical collaboration between the two equipment suppliers that originated in 2020. That co-development framework recently broadened with Besi joining Applied Materials’ newly unveiled Equipment and Process Innovation and Commercialization (EPIC) Center in Silicon Valley as an Innovation Partner. The engineering collaboration bridges Applied’s front-end materials engineering, deposition, and chemical mechanical planarization (CMP) capabilities with Besi’s high-precision backend die-placement and die-to-wafer assembly systems.

As conventional transistor scaling encounters physical boundaries at sub-2nm nodes, the semiconductor sector is increasingly dependent on heterogeneous packaging to meet the performance and thermal requirements of high-density AI accelerators. Die-to-die and die-to-wafer direct copper hybrid bonding has emerged as a critical manufacturing path, eliminating intermediate solder micro-bumps to dramatically increase interconnect densities, lower parasitic capacitance, and reduce power dissipation across multi-chip modules. Under their joint roadmap, Applied Materials and Besi are co-innovating beyond baseline hybrid bonding into advanced interconnect architectures, including next-generation 3D integrated circuit (3D IC) scaling, heterogeneous logic and memory integration, fine-pitch thermo-compression bonding, and emerging die-on-wafer, die-on-die, and die-on-panel packaging platforms.

Dr. Prabu Raja, President of the Semiconductor Products Group at Applied Materials, noted that hybrid bonding and next-generation interconnect architectures are becoming vital enablers of energy-efficient AI compute performance. Deepening capital and technological alignment allows both companies to co-optimize front-end wafer planarization and sub-micron backend placement tools before platforms reach commercial production lines.

Applied Materials confirmed that it views its shareholding in Besi as a long-term strategic holding, stating that it has no intention of increasing its stake beyond roughly 20 percent or seeking a seat on Besi’s supervisory board. For the broader semiconductor equipment and outsourced assembly and test (OSAT) sectors, this deepened alignment demonstrates how front-end process tooling and backend assembly equipment are consolidating technically. By tightly synchronizing surface preparation and precision placement systems, the partnership establishes an integrated manufacturing flow necessary to yield complex multi-die processors and high-bandwidth memory architectures at commercial scale.
