Skyworks Completes Landmark Qorvo Combination to Forge US RF and Analog Powerhouse

Skyworks Solutions Inc. has officially completed its combination with Qorvo Inc., creating a consolidated US-based semiconductor giant focused on high-performance radio frequency (RF), power management, and analog and mixed-signal architectures. The closure of the transaction reshapes the global RF front-end (RFFE) landscape, bringing together two of the industry’s most prominent players under a single operating structure.

From a semiconductor manufacturing and supply chain perspective, the merger brings immense scale. The combined company commands an engineering workforce of roughly 8,000 professionals and a collective intellectual property portfolio exceeding 12,000 issued and pending patents. Crucially, the transaction fortifies domestic compound semiconductor manufacturing across key wafer fab sites, expanding capabilities in Gallium Nitride (RF GaN), Gallium Arsenide (GaAs), and advanced acoustic wave filtering technologies.

In mobile communications, the integrated portfolio allows the company to counter escalating hardware complexity. As mobile networks transition through 5G-Advanced and prepare for future 6G frameworks, handset OEMs require multi-band front-end modules capable of handling new spectrum allocations alongside edge AI processing demands. Beyond cellular handsets, the acquisition more than doubles Skyworks’ total addressable market. The expanded portfolio broadens reach across automotive, defense and aerospace, physical AI, data centers, and low-voltage power management.

Phil Brace, CEO and President of Skyworks, stated that customers are tackling increasingly complex challenges and require partners with the capabilities, engineering expertise, and scale to help them innovate faster. He noted that the unified company is well-positioned to deliver integrated, system-level solutions while accelerating next-generation connected technologies.

Financially, Skyworks anticipates annualized cost synergies of at least $500 million within 24 to 36 months following full operational integration. Under the terms of the agreement, Qorvo shareholders receive $32.50 in cash plus 0.960 Skyworks common shares per Qorvo share held. Legacy Skyworks stockholders own approximately 63% of the entity, while legacy Qorvo stockholders hold 37%.

The company will continue operating under the Skyworks name, trading under the SWKS ticker on NASDAQ. Phil Brace remains CEO and President, while former Qorvo board members Bob Bruggeworth, Richard Clemmer, and Chris Koopmans have joined the Skyworks board.
